BY-LAWS OF THE

TRIANGLE INSTITUTE OF SECURITY STUDIES

 

Article 1:  Mission

      Section 1: Name.  The name of this organization shall be the Triangle Institute of Security Studies (TISS). 

 

     Section 2: Purpose. TISS is a multi-disciplinary consortium of Duke University, University of North Carolina at Chapel Hill, and North Carolina State University.  Its aim is to promote research, education, and informed public discussion of national and international security studies, broadly defined, to contribute to national and international policy on security matters, and to foster a richer intellectual community in the Research Triangle for security studies scholars and other interested public.

 

Article II:  Membership

        Section 1:  Membership. TISS members will be persons with a professional or academic interest in security studies, broadly defined.  They shall consist of faculty members, graduate students, sponsored undergraduates, and local, state, national, and international scholars, policymakers, writers, journalists, community leaders and others who live in the Triangle (local) and outside the Triangle (distant).  Members will be invited to participate in TISS programs (including seminars and conferences) and asked to support TISS goals. 

 

Article III: Organization

 

     Section 1:  Director.  TISS's Director, chosen by and serving at the pleasure of the Executive Board, will be responsible for conducting the Institute’s programs and activities in accordance with guidance provided by the Executive Board.

 

     Section 2: Executive Board.  TISS shall have an Executive Board made up of at least two representatives from each of the principal funding institutions.  The Board shall serve for renewable, three-year terms, and shall select replacement members from time to time as needed.

 

     Section 3:  Staff.  TISS shall employ staff to assist the Director in number and in function as approved by the Executive Board.

 

Article III:  Governance

      Section 1:  Director.  The Director is responsible for ensuring that all of TISS's programs and activities are in consonance with central purpose of the organization.  The Director will report on TISS's programs and activities from time to time to the office designated by the sponsoring institutions.  

 

     Section 2: Executive Board. The Board shall meet at least once annually and more often at the request of the Director for the purpose of reviewing TISS's programs and activities.  Minutes of each meeting of the Executive Board shall be maintained in the Center's offices.

Article IV:  Amendment and Operation of By-Laws

      Section 1: Amendment of By-Laws.  These by-laws may be amended or repealed by affirmative vote of a majority of the members of the Executive Board.

 

     Section 2: Invalid Provisions.  If any provision of these by-laws is held to be inconsistent with University policy, that provision shall be severable from the by-laws, the remainder of which shall remain in force.
